Three states achieved important business legislation milestones during the month of June. Please see below for summaries of the new laws for entities in Texas, Washington and Wisconsin.

TEXAS

House Bill 2856
Entities Affected: Various
House Bill 2856 (Laws of 2017), effective June 1, 2018, amends provisions of the Business Organizations Code relating to the names of domestic and foreign filing entities. View the bill text.

WASHINGTON

Senate Bill 6040
Entities Affected: Corporations
Senate Bill 6040, effective June 7, 2018, amends the Business Corporation Act by authorizing virtual shareholder meetings and remote shareholder participation at meetings. View the bill text.

WISCONSIN

Assembly Bill 897
Entities Affected: 
Corporations
Assembly Bill 897, effective June 1, 2018, amends provisions of the corporation law relating to the fees for the certificate of authority, withdrawal, and annual report of a foreign corporation that qualifies as a qualified new business venture that is certified under Sec. 238.15 (1).
