Attention Delaware Business Filers! After having suspended pre-clearance services in October, the Delaware Division of Corporations has re-evaluated its workload and decided to allow a limited number of pre-clearance submissions from November 28, 2022, through December 16, 2022. In order to efficiently manage the processing of pre-clearances, the following requirements relating to submission of pre-clearances are being implemented during this time:
- Delaware will only be accepting pre-clearances for the following document types:
- Mergers
- Conversions
- Restateds
- Designations
- Domestications
- Divisions
Please note, the Delaware Division of Corporations requests that filers please refrain from submitting multiple pre-clearances of similar documents and only changing the names of the entities.
- Delaware will only be accepting pre-clearances through Priority 4 (24-hour) service.
